Terms of Service

Plain-language terms that govern your use of the BarClock app and website. We aim to be fair — read them.

Effective date: 1 September 2026

1. Acceptance of Terms

  • By downloading, installing, or using the BarClock app or website (collectively, the "Service"), provided by Ruvik Group LLC, you agree to be bound by these Terms of Service ("Terms").
  • If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.
  • You must be at least 18 years of age to use the Service.

2. Description of Service

  • Timing utility — BarClock counts down to candle closes (M1 through D1) and delivers configurable alerts. It runs entirely on clock math: it holds no positions, accesses no market or price data, and requires no broker login.
  • Not financial advice — BarClock is a timing tool only. Nothing in the Service constitutes trading, investment, legal, or financial advice. Trading decisions are your own responsibility and carry risk of loss. Always consult a licensed professional for advice specific to your situation.
  • Third-party services — The app is distributed through Google Play and the Apple App Store. We are not responsible for those platforms' services or conduct.

3. Purchases & Subscriptions

  • Free tier — Core countdowns are free forever. No account is required.
  • Pro Monthly — $4.99 per month. Pro Yearly — $29.99 per year, including a 7-day free trial for eligible new customers. Lifetime — $49.99 one-time during the Founder launch period.
  • Subscriptions are charged to your Google Play or App Store account and renew automatically unless cancelled at least 24 hours before the current period ends. The yearly free trial converts to a paid subscription unless cancelled before it ends.
  • Prices are shown in USD; store prices may vary by country after currency conversion. Refunds are handled by the store under its own policies.

4. Acceptable Use

  • You may not reverse-engineer the app, circumvent entitlement checks or any security measures, or redistribute the Service.
  • You may not use automated tools, bots, or scrapers to extract data from the Service.
  • You may not use the Service for any unlawful purpose or in violation of any applicable law.
  • Violation of these rules may result in termination of your access to Pro features.

5. Intellectual Property

  • All content, features, and functionality of the Service — including text, graphics, logos, and software — are the exclusive property of Ruvik Group LLC and are protected by copyright, trademark, and other intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes only.
  • You may not reproduce, distribute, modify, or create derivative works of any content from the Service without our express written permission.

6. Disclaimer of Warranties

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • Alert delivery — We do not guarantee alerts under all device conditions — for example if the operating system restricts notifications, enables battery optimisation, or kills the app in the background.
  • Clock accuracy — Countdowns are derived from your device's clock and your configured broker GMT offset. We cannot guarantee they match your broker's server time under all conditions.
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

  • To the maximum extent permitted by law, Ruvik Group LLC shall not be liable for any trading losses, missed alerts, or any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim (or $50 if you have not paid).
  • Some jurisdictions do not allow these limitations — in those cases, our liability is limited to the maximum extent permitted by law.

8. Indemnification

  • You agree to indemnify and hold harmless Ruvik Group LLC, its officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Governing Law

  • These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
  • You agree that any legal action or proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.
  • If any provision of these Terms is found to be unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

We may update these Terms of Service from time to time. When we do, we'll revise the effective date above. Your continued use of BarClock after any changes constitutes your acceptance of the new Terms.
